WHY DOES THE FORM TOOL START UP AT THE TOP OF THE FORM? Under Article 2A of the BCA, you can form a "Close Corporation", but if you do, you must say so on the Articles of Incorporation. ILForms has inserted a "field" at the top of form BCA-2.10, to permit you to insert the words "Being formed as a Close Corporation" to comply with the statute. If you don't need this language, simply TAB to the next box.

BCA-10.30

On page 3 of the Articles of Amendment, in ¶5(b), you are asked to state "No Change" if indeed, there is no change in the stated capital. Although there appears to be no field into which to insert the words, "No Change", we suggest you insert them following the dollar sign ($) in the column, "After Amendment".

LLC-5.5

The Articles of Organization of an LLC, at line 8, ask for the last date upon which the company is to dissolve. If you have such a date, enter it (note that at common law it has been held that a duration beyond 99 years is "perpetual".) If you truly want your LLC to have perpetual existence, enter the word "PERPETUAL" instead of a date or "N/A" etc. The Secretary of State's Office wants either a date or the word perpetual on this line.

SS-4

In case you are forming an LLC or an LLP, you will need to supply the taxpayer identification number, either on the Articles of Organization or Certificate of Limited Partnership, or within 60 days after filing. Its easier to get the number and put it on the Articles of Organization or Certificate of Limited Partnership before filing. You can apply be telephone or fax. First, complete the SS-4. Then telephone the IRS at (816) 926-5999. They will ask you a number of questions based on the line numbers on the form. They will then assign a FEIN and ask you to fax the form to them within 24 hours to (816) 926-7988. If the phone is busy, you can simply fax the form and the IRS will call you with the number. They claim they will call back with a number within 24 hours, but depending on the time of year, you could be waiting for a few days to a week.

Treasury form 8832, the so called "Check a Box" form, at line 3, has a place to insert the effective date of the election. Note that the government has given you a space to fill in the date, with the day, month and year separated by slashes: __/__/__. In order to permit you to fill in this space correctly, ILForms has provided not one, but three fields, one each for month, day, and year. Go to the first and enter the month. Then TAB to the second to enter the day, and TAB again to enter the year.
